1Introduction

These Terms and Conditions (“Terms”) govern the access, browsing, and use of the digital platform (“Platform”) operated by Subbito Private Limited (“Subbito”, “Company”, “we”, “us”, or “our”), including any services facilitated through the Platform.

By accessing, registering on, or using the Platform, or by availing any services through Subbito, the user (“User”, “Customer”, “you”) acknowledges having read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue any use of the Platform or its services.

2Nature of Services and Platform Role

Subbito operates a technology-based intermediary platform that facilitates connections between Users and independent service professionals (“Service Professionals”) for home and related services.

Subbito does not provide any services directly. All services booked through the Platform are rendered solely by independent Service Professionals registered on the Platform.

Express Clarification:

Service Professionals are not employees, agents, partners, franchisees, or legal representatives of Subbito. Any service availed through the Platform constitutes a direct, legally binding arrangement solely between the User and the Service Professional.

Subbito’s role is strictly limited to:

  • Facilitating booking and coordination;
  • Enabling communication; and
  • Collecting payments on behalf of Service Professionals, where applicable.

3Payment Terms

Subbito may act as a limited collection agent on behalf of Service Professionals solely for the purpose of receiving payments from Users.

The total amount payable by the User may include:

  • Service charges payable to the Service Professional;
  • Platform fee / convenience fee payable to Subbito; and
  • Any applicable taxes.

Additional charges may be levied, including but not limited to: cost of materials, additional services, safety fees, insurance fees, or statutory welfare charges.

Payment methods include digital modes (UPI, cards, net banking) or, in certain cases, cash directly to the Service Professional. If payment is made in cash, the User assumes sole responsibility for completing payment to the Service Professional. Subbito shall have no liability in relation to cash payments.

4Pricing

Service prices may vary based on location, demand, time slot, and other dynamic factors. The applicable price shall be displayed at the time of booking and, once confirmed, shall remain fixed for that specific service instance.

All payments made are non-refundable except:

  • Where required under applicable law; or
  • At the sole and absolute discretion of Subbito.

5Cancellation and Rescheduling

A User may cancel a service request before the Service Professional arrives at the service location. Cancellation charges may apply depending on the timing of cancellation, as disclosed at the time of booking.

Repeated cancellations, no-shows, or misuse of the booking system may result in restriction, suspension, or termination of the User’s account.

If a Service Professional cancels or becomes unavailable, Subbito may, at its discretion: assign an alternate Service Professional; or reschedule the service; or cancel the booking and process any refunds in accordance with applicable policy.

6User Account and Eligibility

To use the Platform, the User must be at least eighteen (18) years of age and be capable of entering into a legally binding agreement under applicable law.

The User agrees to provide accurate, complete, and current information during account creation and to update such information promptly upon any change.

The User is solely responsible for maintaining the confidentiality of account credentials and for all activities that occur under their account, whether authorized or not.

7User Conduct and Obligations

The User agrees to:

  • Behave respectfully and fairly with Service Professionals;
  • Not engage in discrimination, harassment, abuse, or inappropriate conduct;
  • Not request any illegal, unsafe, unethical, or hazardous work;
  • Provide a safe working environment at the service location; and
  • Secure personal belongings and valuables before service commencement.

Violation of any of the above conditions constitutes a material breach and may lead to immediate suspension or permanent termination of Platform access.

8Non-Circumvention

The User shall not, directly or indirectly, engage, solicit, or hire any Service Professional outside the Platform for services introduced through Subbito.

The User shall not attempt to bypass the Platform, avoid applicable fees, or induce any Service Professional to discontinue or reduce their association with Subbito. Any such conduct shall be deemed a material breach, entitling Subbito to claim liquidated damages, legal costs, and other remedies available under law.

9Data and Privacy

Subbito collects and processes personal data, including but not limited to: contact details, location data, usage patterns, device information, and booking history.

Purpose of processing includes: providing and improving services; personalizing user experience; analytics and Platform security; communication and compliance with legal obligations.

By using the Platform, the User expressly consents to such collection, storage, and processing of data in accordance with applicable privacy laws and Subbito’s Privacy Policy.

10Communication

The User expressly agrees to receive commercial and service-related communications from Subbito via SMS, email, WhatsApp, push notifications, or other electronic means.

Such communications may include booking confirmations, service reminders, and promotional messages. The User may opt out of promotional communications; however, service-related communications shall continue to be sent.

11Limitation of Liability

Subbito acts solely as an intermediary platform and shall not be responsible for the quality, safety, timeliness, or performance of services provided by Service Professionals; any act or misconduct of any Service Professional; or any loss, damage, or injury caused thereby.

To the maximum extent permitted by law, Subbito shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data or profits.

12Maximum Liability

Notwithstanding anything to the contrary, the total aggregate liability of Subbito, whether arising in contract, tort, or otherwise, shall be limited to:

The lesser of:
  • The commission/platform fee actually earned by Subbito from the specific transaction; or
  • ₹10,000 (Rupees Ten Thousand only).

13Service Disclaimer

Subbito makes no representation or warranty regarding the quality, reliability, availability, or suitability of any service provided through the Platform. All services are availed by the User at their own risk. The Platform is provided on an “as is” and “as available” basis.

14Suspension and Termination

Subbito reserves the right, without prior notice, to suspend, restrict, or permanently terminate a User’s access to the Platform in the event of violation of these Terms, misuse of the Platform, unlawful activity, or breach of conduct obligations.

15Dispute Resolution – Mandatory Arbitration

Any dispute shall first be attempted to be resolved amicably within 15 days of written notice. If not resolved, the dispute shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

All disputes shall be subject to the exclusive jurisdiction of the courts at Gurugram / Delhi.

Complaints shall be acknowledged and addressed within the timelines prescribed under applicable laws (including the Information Technology Act, 2000 and rules thereunder).

17Modification of Terms

Subbito reserves the right to modify, update, or replace these Terms at any time without prior individual notice. The latest version shall be published on the Platform. Continued use of the Platform after any such change constitutes unconditional acceptance of the revised Terms.

18Assignment

Subbito may, without the User’s consent, assign or transfer its rights and obligations under these Terms to any affiliate, successor, or third party. The User shall not assign or transfer any rights or obligations under these Terms.
